Terms and Conditions

1. Definitions

  • “Company” means AB ALL-BEST HAULAGE AND LOGISTICS SERVICES LTD, an  PRIVATE COMPANY LIMITED BY SHARES registered in Nigeria with registered office at [Company Address].
  • “Client” means any person or entity that contracts with the Company for the provision of haulage and logistics services.
  • “Goods” means any items or materials transported by the Company on behalf of the Client.
  • “Services” means all haulage and logistics services provided by the Company to the Client, including but not limited to transportation, storage, warehousing, and related services.
  • “Contract” means the agreement between the Company and the Client for the provision of Services, as evidenced by these Terms and Conditions, any written quotation, order confirmation, or other written communication between the parties.

2. Scope of Services

  •  The Company agrees to provide the Services to the Client in accordance with the terms of the Contract and these Terms and Conditions.
  •  The scope of Services will be as set out in the Contract or as otherwise agreed in writing between the parties.
  •  The Company reserves the right to refuse any request for Services that it deems to be unsuitable or beyond its capacity.

3. Client Responsibilities

  • The Client shall provide the Company with all necessary information and documentation relating to the Goods, including but not limited to:  Accurate descriptions of the Goods, including weight, dimensions, and any special handling requirements.  Accurate origin and destination addresses.  Any applicable permits or licenses required for the transportation of the Goods.  Any instructions for the handling, storage, or delivery of the Goods.
  •  The Client shall ensure that the Goods are properly packaged and secured for transportation.
  •  The Client shall be responsible for obtaining and maintaining all necessary insurance coverage for the Goods during transportation and storage.
  • The Client shall pay the Company all fees and charges for the Services in accordance with the terms of the Contract.

4. Company Responsibilities

  •  The Company shall use reasonable care and skill in the performance of the Services.
  • The Company shall comply with all applicable laws and regulations relating to the transportation and handling of Goods.

4.3 The Company shall maintain adequate insurance coverage for its operations, including but not limited to:  Public liability insurance Goods in transit insurance  Vehicle insurance

  •  The Company shall provide the Client with regular updates on the progress of the transportation and delivery of the Goods.

5. Fees and Charges

  • The fees and charges for the Services shall be as set out in the Contract or as otherwise agreed in writing between the parties.
  •  The Client shall pay all fees and charges within [Number] days of the date of invoice.
  •  The Company reserves the right to adjust fees and charges in the event of unforeseen circumstances, such as changes in fuel prices, traffic congestion, or government regulations.

6. Liability

  •  The Company shall not be liable for any loss or damage to the Goods caused by:  Acts of God, such as earthquakes, floods, and storms.  Acts of war or terrorism.  Acts of the Client or its agents.  Inherent vice or defect in the Goods.  Insufficient or improper packaging of the Goods.
  •  The Company’s liability for any loss or damage to the Goods shall be limited to [Amount] or as otherwise agreed in writing.
  •  The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the performance or non-performance of the Services.

7. Insurance

  •  The Client shall be responsible for obtaining and maintaining adequate insurance coverage for the Goods during transportation and storage.
  •  The Company shall maintain adequate insurance coverage for its operations, as described in Section 4.3 above.

8. Termination

  •  Either party may terminate the Contract by giving the other party [Number] days’ written notice.
  •  The Company may terminate the Contract immediately upon written notice to the Client if:  The Client fails to make any payment when due.  The Client breaches any of the terms of the Contract.  The Client becomes insolvent or bankrupt.

9. Force Majeure

  •  Neither party shall be liable for any delay or failure to perform its obligations under the Contract due to events beyond its reasonable control, including but not limited to:  Acts of God  Acts of war or terrorism Strikes, lockouts, or other industrial action  Government regulations or restrictions Epidemics or pandemics

10. Dispute Resolution

  •  Any dispute arising out of or relating to the Contract shall be resolved through [Method of dispute resolution, e.g., negotiation, mediation, arbitration].
  •  If the parties are unable to resolve the dispute through [Method of dispute resolution], the dispute shall be submitted to [Jurisdiction] for resolution in accordance with its laws.

11. Governing Law

  •  These Terms and Conditions shall be governed by and construed in accordance with the laws of [Jurisdiction].1

12. Severability

  •  If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall2 remain in full force and effect.

13. Entire Agreement

  •  These Terms and Conditions constitute the entire agreement between3 the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.4

14. Waivers

  • No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.5
